1. Introduction
In the normal course of business, NS Pharma, Inc.(“NS Pharma” or “Company”) may collect personal information that it uses to help patients live healthier, happier lives. This Privacy Notice (“Notice”) describes how NS Pharma collects, uses and discloses personal information, both online through nspharma.com and any other website sponsored by NS Pharma (collectively, the “Websites”) and offline in the course of providing our products and services. This Notice does not apply to personal information we collect from our employees or the personal information we collect from participants in our clinical trial studies.
2. Information Collection
2.1 Overview
In the normal course of business, NS Pharma collects or receives information, including personal information, from a variety of sources. This information may be actively collected by NS Pharma or obtained inadvertently or in conjunction with other information or through third parties. Personal information means information that identifies, relates to, describes or can be reasonably associated with an individual.

2.3 Cookies & Other Tracking Technologies
A. Cookies. The Websites use cookies, which are small files placed on computer hard drives, used to collect and store information about user preferences and navigation to, from and on NS Pharma Websites.
B. Web Beacons. Pages of NS Pharma Websites and emails may contain small electronic files known as web beacons (also referred to as clear gifs, pixel tags and single-pixel gifs) that permit NS Pharma, for example, to count users who have visited those pages or opened an email and for other related website statistics (for example, recording the popularity of certain website content and verifying system and server integrity).
C. Third-party Use of Cookies and Other Tracking Technologies. Some content or applications, including advertisements on Websites such as social media websites, are served by third-parties, including advertisers, advertising networks and servers, content providers, analytics partners and application providers. These third parties may use cookies alone or in conjunction with web beacons or other tracking technologies to collect information during the use of NS Pharma Websites. The information collected may be associated with user personal information or your online activities over time and across different websites and other online services. This information may be used to provide users with interest-based (behavioral) advertising or other targeted content. Our Websites use third parties such as Google Analytics to provide us with analytics and advertising services. You can opt-out of Google Analytics by downloading Google’s Opt-Out Browser Add-on.
D. Some Internet browsers have “Do Not Track” or “DNT” features which, when turned on, send a signal to the website that the individual visiting the website does not wish to be tracked. Our Websites do not honor DNT signals, but you can adjust your cookies settings as described below.
E. Most web browsers automatically accept cookies, but you can modify your browser settings to decline cookies if you prefer. If you use your browser settings to block all cookies, you may not be able to access all features of our Websites. 3. Use and Maintenance of Information
3.1 How Information is Used
A. NS Pharma may use personal information to:
i. Provide our products and services, including to provide case management services related to our patient assistance programs and to determine your eligibility to participate in such programs.
ii. Send promotional and/or patient education communications related to health condition, treatment and products.
iii. Contact you occasionally to obtain feedback for market research.
iv. Deliver targeted sales, educational and marketing information related to the services an individual has requested, including through our patient assistance programs, or about which he or she has inquired.
v. Advise individuals as to other products or services offered by NS Pharma. Marketing activities can be conducted by telephone, email or other channels, as permitted by law. Individuals have the right to opt out of their personal information being used for marketing activities.
vi. Develop and administer events for which NS Pharma engages third parties, including, for example, advisory boards and speaker programs. This includes activities related to the verification of credentials, training, scheduling, processing honoraria, reimbursing expenses and advertising such events.
vii. Conduct research and development activities by aggregating an individual’s deidentified information and analyzing the aggregate information to improve distribution and product channels.
viii. Evaluate job applicants for employment.
ix. Develop or enhance a business relationship or support a corporate transaction.
x. Fulfill legal and compliance obligations, such as adverse event reporting, fraud prevention and for other business purposes, such as website management, research and development, educational and commercial purposes.
xi. As otherwise required under applicable law and NS Pharma policy.
3.2 Data Security
A. NS Pharma uses reasonable administrative, technical and physical safeguards designed to ensure that the personal information we collect is protected from accidental or intentional manipulation, loss, destruction or access by unauthorized persons. The transmission of information via the Internet, however, is not guaranteed to be completely secure and we cannot guarantee that our security measures will prevent third parties from intercepting your personal information.
3.3 Data Retention
A. NS Pharma retains the personal information described in this Notice for as long as necessary to satisfy the purpose for which it was originally collected or for which there is legitimate business, operational or clinical purpose. We determine the retention period for each category of personal information based on (i) the length of time we need to retain the information to achieve the business or commercial purpose for which it was obtained, (ii) any legal or regulatory requirements applicable to such information, (iii) internal operational needs, and (iv) any need for the information that is based on an actual or anticipated investigation or litigation.
4. How Information is Shared or Disclosed
A. To better serve patients, caregivers and the larger healthcare community, NS Pharma may share personal information as follows:
i. NS Pharma may share personal information within its corporate family of companies, including its parent company, Nippon Shinyaku Co., Ltd. and affiliated entities.
ii. Personal information may be shared with third parties that NS Pharma uses to support or administer the services the Company provides. This third party support or administration may include, but is not limited to, process management and website hosting services.
iii. Personal information may be shared with third parties, such as clinical research partners, healthcare providers and insurers that we work with to provide support for our patients.
iv. NS Pharma may share personal information with professional service providers retained by the Company. These providers may include, but are not limited to, legal counsel, auditors and accountants.
v. Information posted by individuals to an NS Pharma social media account or other interactive media account managed by NS Pharma or an authorized third party may be shared with NS Pharma, friends or connections of the posting entity, other parties active on the media site or other parties exposed to the content. Information shared on many websites and social media accounts is subjected to the hosting company’s own privacy policies.
vi. Personal information that NS Pharma obtains may be shared as part of business negotiations or transactions, for example, when the Company performs due diligence in connection with a proposed sale or divestiture of assets.
vii. NS Pharma may be required by law or court order to share information. Examples include the reporting of adverse events, complying with legal subpoenas or responding to lawful requests for information from appropriate government health organizations. We may also share information as necessary to protect the Company against legal liability or prevent fraud.
5. Your Privacy Choices
NS Pharma provides the following choices regarding your personal information:
A. You may opt-out of receiving promotional or marketing emails from NS Pharma at any time by using the “unsubscribe” link in the email you receive. Please note that we reserve the right to continue to send you other, non-marketing communications, including messages regarding invoices, deliveries and educational materials.
B. If you opt-in to receiving informational text messages from us, you can opt-out at any time by replying “STOP.”
C. You may contact us at the contact information below if you think that any personal information we have about you is inaccurate or incomplete, or if you want to access your personal information.
6. Your Privacy Rights
A. Depending on your jurisdiction of residence, you may have the privacy rights listed below with respect to the personal information we collect about you. Please note that these rights are not absolute; they may apply only in certain circumstances. In certain cases, we may decline a request you make as permitted by law.
i. Right to Confirm / Access / Know. You may have the right to request access to personal information that we hold about you, including details relating to the ways in which we use and share your information. Residents of California have the right to know the categories of personal information we have collected about them, the categories of sources from which the personal information is collected, the categories of personal information sold, shared or disclosed, the business or commercial purpose for selling, sharing or disclosing the personal information and the categories of third parties to whom we have sold, shared or disclosed their personal information.
ii. Right to Delete. You may have the right to request that we delete personal information we maintain about you.
iii. Right to Correct. You may have the right to request that we correct inaccurate personal information we maintain about you.
iv. Right of Portability. You may have the right to receive a copy of the personal information we hold about you and to request that we transfer it to a third party. This right exists in certain circumstances and with certain exceptions.
v. Right to Withdraw Consent to Processing of Sensitive Personal Information. You may have the right to withdraw your consent to the collection, use and disclosure of your sensitive personal information, unless legal or contractual reasons prevent you from doing so. However, if you withdraw your consent, we may be unable to offer or provide you with certain goods and services.
vi. Right to Opt-Out. You may have the right to opt-out of certain uses of your personal information, such as (i) targeted advertising, (ii) “sale” or “sharing” for cross-context behavioral advertising, or (iii) profiling or automated decision-making activities that result in a legal or similarly significant effect on you. Please note that if you visit our website with the Global Privacy Control opt-out preference signal enabled, if required by law, we will respond to that request in a frictionless manner, meaning we will automatically treat this as a request to opt-out of “sale,” “sharing,” or targeted advertising for the device or browser from which you broadcast the signal. B. Requests to exercise these rights may be made using the contact information listed at the end of this Notice. As discussed above, a request to opt-out of the sale or sharing of your personal information can be made by utilizing the cookies preference center or activating the Global Privacy Control.
C. Only you, or as permitted by law, a person that you authorize to act on your behalf, may make a request related to your personal information. In the case of access, correction and deletion, your request must be verified before we can fulfill the request. Verifying your request will require you to provide sufficient information for us to reasonably verify that you are the person about whom we collected personal information or that the requestor is authorized to act on your behalf. We will not discriminate against you for exercising your privacy rights.
7. Additional Disclosures for California Residents
A. In addition to offering certain consumer rights (set forth above), California law requires us to make the following additional disclosures to California residents regarding our information practices.
In the last twelve (12) months, the personal information NS Pharma has collected falls into the following categories of personal information as defined under California law:
i. Identifiers and personal information categories listed in the California Customer Records statute, such as name, signature, address, phone number, email address, online identifier, unique identifier, IP address, date of birth, employment history, medical information and health insurance information. We collect this category of information directly from you, automatically from your use of the Websites, from third parties and from job applicants.
ii. Protected classification characteristics, such as age, race, color, ancestry, national origin, citizenship and veteran or military status. We collect this category of information from job applicants.
iii. Commercial information, such as records of personal property, products or services purchased, obtained or considered, or other purchasing or consuming histories or tendencies. We collect this category of information directly from you, automatically from your use of the Websites, and from our business partners.
iv. Internet or other similar network activity, such as browsing history, search history, information on a consumer’s interaction with a website, application or advertisement. We collect this category of information automatically from your use of the Websites.
v. Geolocation data, such as device location. We collect this category of information automatically from your use of the Websites.
vi. Sensory data, such as recordings of customer service calls. We collect this category of information automatically.
vii. Professional or employment-related information, such as current or past job history. We collect this category of information automatically from job applicants.
viii. Non-public education information, such as transcripts. We collect this category of information automatically from job applicants.
ix. Sensitive personal information, such as precise geolocation, racial or ethnic origin, citizenship or immigration status, and health data. We may collect racial or ethnic origin and citizenship and immigration status from job applicants. We collect health data directly from patients, from their caregivers and from providers and insurers. We do not collect precise geolocation information. To the extent we collect sensitive personal information, we do not use it to infer characteristics about individuals.
B. NS Pharma uses and discloses this personal information in the manner set forth in Sections 3 and 4 above. In the past 12 months, we have disclosed some or all of the above categories of personal information to our service providers. In addition, we have disclosed the following categories of personal information to third parties for purpose of providing our products and services, including facilitating patient assistance, and to regulatory bodies for the purpose of complying with legal and regulatory obligations: identifiers and personal information categories listed in the California Customer Records statute, commercial information, sensitive personal information.
C. NS Pharma does not sell personal information; however, certain of our digital analytics or advertising activities may constitute a sharing of personal information for cross-context behavioral advertising under California law. In particular, we may share the following categories of personal information with third party advertising and analytics partners for the purposes of data analytics and cross-context behavioral advertising: Identifiers and personal information categories listed in the California Customer Records statute, commercial information, and internet or other similar network activity. California residents have the right to opt-out of this sharing as described in Section 6 above. We do not have actual knowledge that we collect, sell or share the personal information of California residents under the age of 16.
8. Additional Information for International Data Subjects
8.1 International Data Transfers
Your personal information may be transferred to countries located outside your country of residence, including to countries that may not provide a similar or adequate level of protection to that provided by your country or region. For example, if you reside in the European Economic Area (“EEA”), the United Kingdom or Switzerland, and we receive your information, it has likely been transferred to the U.S. By using the Websites or otherwise providing personal information to us, you hereby expressly consent to the transfer of your personal information outside your country or region and into the U.S.
8.2 Additional Information for Individuals in the European Economic Area (EEA), the United Kingdom and Switzerland
In addition to the disclosures made elsewhere in this Policy with respect to our privacy practices, our legal basis for processing personal information we collect from data subjects in the European Economic Area, the United Kingdom and Switzerland, when applicable, can vary depending on the manner in which you use our Websites or otherwise engage with us. In cases where you are asked to provide your consent to our receipt of your personal information, you can withdraw your consent at any time, although this will not affect the lawfulness of our processing prior to your withdrawal of consent. In the case of processing involving passive data collection and other processing for the administration of our Websites, such processing is undertaken pursuant to our legitimate interests as a data controller, including the operation of our Websites. We may also process personal information where necessary for our compliance with a legal obligation to which we are subject. We also reserve the right to process personal information in the event we believe doing so is necessary to protect the rights of the data subject or another person. Data subjects in the European Economic Area, the United Kingdom and Switzerland should review Section 6 – Your Privacy Rights – for information about the rights they have with respect to their personal information.
9. Miscellaneous
9.1 Children’s Information
A. NS Pharma does not knowingly solicit or collect personal information from children under 18 years of age without the consent of a parent or legal guardian.
B. NS Pharma representatives receiving information from a patient advocacy organization or other external entity must ensure that any release authorizing NS Pharma to use information for a child under 18 years of age is signed by a parent or legal guardian.

Our Websites may contain links to other websites. Please recognize that we do not control these third party websites and this Privacy Notice will not apply to those websites. You should consult each applicable privacy notice or policy before using another linked website.
9.3 Changes to this Policy
We may update this Privacy Notice from time to time, including to reflect changes to our practices or for other operational, legal or regulatory reasons. We will post the revised Notice on the Websites, update the “Last updated” date and take any other steps required by applicable law.
